ICSI Advisory on MGT-7 Certification via MCA V3

The Institute of Company Secretaries of India (ICSI) issued an advisory on July 18, 2025, regarding certification under Form MGT-7 on the MCA V3 portal. Following the recent deployment of annual filing forms and amendments under the Companies (Management and Administration) Rules, 2025, the certification from Form MGT-8 has been embedded as a static field within Form MGT-7. As per MCA FAQs (specifically FAQ No. 37), any qualifying remarks can currently be included as an ‘Optional Attachment’ in Form MGT-7, with reference to the embedded MGT-8 content. To ensure proper due diligence and uphold professional credibility, ICSI has advised members to continue providing certification under Form MGT-8 on the letterhead of a peer-reviewed practice unit, along with a UDIN (Unique Document Identification Number), and attach it as an optional document to Form MGT-7 until further clarification or rule changes are issued by MCA. ICSI had earlier submitted a formal representation to the MCA on June 6, 2025, suggesting modifications to the layout of Form MGT-8 in relation to Form MGT-7. Members are also encouraged to consult the MCA V3 portal’s FAQs and supporting presentations for clarity and smoother compliance.

ADVISORY W.R.T. FORM MGT-7 CERTIFICATION UNDER MCA V3 PORTAL

The Ministry of Corporate Affairs (MCA) has recently deployed annual filing forms on MCA 21 V3 portal. Pursuant to the Companies (Management and Administration) Amendment Rules, 2025, certification in Form MGT-8 has been integrated with the E-form MGT-7 on V3 portal thereby capturing the certification under Form MGT-8 in a static field.
Referring to the FAQs issued by MCA w.r.t Lot 3 forms , FAQ No. 37._ _____any qualifying remarks about compliance can presently be added in the ‘Optional Attachment field in Form MGT-7, with specific reference to embedded portion of Form MGT-8. To further exercise due diligence and maintain credibility, it is hereby advised to continue to certify the compliances under Form MGT- 8 on the letter head of a Peer reviewed Practice Unit, generate UDIN in accordance with Guidelines issued by the Institute and attach the same as an optional attachment to Form MGT- 7, till the issuance of clarification/ Rules from the MCA in this context.
